Singapore, 6 October 2026. SGX Catalist-listed Autagco Ltd. has signed a non-binding MOU to buy all of Yess Ventures Enterprise Sdn. Bhd. (YVE). YVE is a Malaysian property investment and management company that owns real estate in Iskandar Puteri, Johor. The deal would give Autagco its first physical assets in its new residential care and wellness business, which shareholders approved on 8 September 2026.
The assets
YVE was incorporated in Malaysia in 2010. Its assets include:
- A nursing home development site in Gelang Patah, Iskandar Puteri. The land is zoned for a purpose-built 12-storey nursing home with about 270 to 280 beds.
- Two adjoining three-storey commercial shophouses at No. 148 and No. 150 Jalan Sentral 1, Taman Nusa Sentral, Iskandar Puteri.
Why it fits
Autagco says the acquisition is the way into its residential care and wellness business. Owning YVE would give it land already zoned for a nursing home, so it would not need to start by finding and rezoning a site. The properties are in Iskandar Puteri, one of the nine flagship areas of the Johor–Singapore Special Economic Zone, and health is one of the zone’s 11 target sectors. The site adds to Autagco’s wider plans in Johor. These include the Kempas Medical Valley project, which Autagco is pursuing with units of the Chinese state-owned groups CCECC and CRCC under a separate MOU signed on 30 September 2026.
How the deal is structured
The proposed price is S$12 million to S$15 million, to be confirmed by an independent valuation. It would be paid in three equal parts:
- Cash on completion.
- New Autagco shares issued at S$0.008 each.
- A convertible loan from the vendors to Autagco, which can be converted into shares at S$0.01 each.
Completion depends on several conditions:
**- satisfactory due diligence
- a definitive sale and purchase agreement
- corporate and Catalist Rules approvals
- any approvals required under Malaysian law**
The vendors have given Autagco 90 days of exclusivity.
